In 2003, Clear Channel created the Vertical Real Estate division and
hired Scott Quitadamo to promote its tower portfolio.

Clear Channel owns and operates approximately 1,500 broadcast
transmission towers across the US. many of which are available for co-
location by third parties such as cellular and PCS companies, wireless
internet, fixed wireless, and other broadcasters.

Clear Channel Vertical Real Estate drafts and routes Wireless Tenant
lease and related documents (we are the landlord or lessor) related to
the following activities:

1. Tower and Building Space Leasing to Wireless Tenants
2. Tenant Lease Amendments
3. AM & FM Diplex Agreements
4. SCA’s (English & Foreign Language)
5. Expired Lease Renewals (not term renewals)
6. Equipment Modifications and Additiona

What are the typical steps in the leasing process (see also Leasing

What information is required by Vertical Real Estate get the leasing
process started?

• Site Identification (ASR/Coordinates/City State, Calls, etc.)
• Applicant Name, Prospect Name/Title, Contact Phone, Email, Service
Type
• Application: Proposed equipment specs (lines/antennas/ground space/
power requirements).
• Timeline and Target Rent.
• Existing Lease Documents (if any)
• Purpose of lease (co-location, diplex, upgrade, renewal, etc.)

I am a prospective wireless tenant and want me to meet Clear Channel’s
local representative at the site, what do I do?

• Site Visits/Site Access – A site visit is strongly suggested and
often requested for/by all wireless tenants to inspect the compound
and discuss various engineering and construction issues related to:
shelter capacity, rack space, utility services availability, backup
power generation, current and proposed equipment locations, tower
obstructions, and other issues.

Site access is restricted and governed by the Station Engineer or Real
Estate Manager (CCO). We ask Applicants make arrangements for access
at least 5 days in advance. Contact Clear Channel Vertical Real
Estate for additional information at 888-551-SITE.

Do we always use the same lease template for all tenants?

• We have national Master Lease Agreements (MLAs) with several
national companies. We also have commonly accepted lease template
agreements with: MediaFLO Cingular T-Mobile Federal Express USA
Mobility (fka Arch/Pagenet) NY State Police and many others.

• All other tenants use either the Standard Lease or a Standardized
Lease Template.

• Clear Channel Outdoor Leases (Billboards) must use the Outdoor Lease
Template. Existing MLA’s and other lease forms are not used on
Outdoor properties.

Who signs the leases and how are they distributed?

• We route all leasing documents through Atlanta and are executed by
the EVP Distribution Development.

• We require 3 originals for Clear Channel plus # the tenant needs.
Originals at Clear Channel are distributed to: Vertical Real Estate,
Real Estate in San Antonio, the Station Business Manager, and one
electronic copy of the lease is routed to the station engineer.

What is the Leasing Process Checklist?

• This is the checklist we follow for almost every lease we draft:

Leasing Checklist (Application through Lease Execution)
 Application Complete (all relevant info complete and correct)
Determine Lease Type:
 New Business *
 Upgrade Increase *
 Renewal (Expired Lease)
 Other
 Validate and Verify Site Identification: ASR and/or Coordinates and
Address, City, State, and Clear Channel Station Call Letters (if any).
Pull or Create Property File Folder for the following and obtain all
missing items (check shared drive and SA drive)
 LPD or Deed **
 Ground Lease (__requires LL consent?) **
 Structural (date__________ / Tenant________________)
 Tower Drawings (original construction) ***
 Current Tower Loading (attach Tower Equipment Detail sheet)
* Items required only if New Business or Upgrade Increase in Tower

*** If not available then obtain tower model number, manufacturer, and
the date it was constructed from station engineer.
Send Preliminary Feasibility Checklist email, Tower Equipment Detail
sheet, and copy of Application to Station Engineer with CC: to Market
Manager and RVP Engineer.

 Enter Application into Payday Report
 Review Current Tenant Lease (if applicable) and note entity names,
dates, and equipment details.
 Prepare chains-of-assignment if requested by Applicant.
 Review Ground Lease, note entity names, expiration date, and file in
Property Folder.
 Prepare Landlord consents, if needed, and note on outside of
Property File Folder if Landlord consent is required.
 Request chains-of-assignment if requested by Applicant.
 Draft (PRT) Lease and email to Scott
 Follow Up 5 Days after Preliminary Feasibility Checklist email to
verify receipt of completed Preliminary Feasibility Checklist and
Tower Equipment Detail Sheet (if not completed by day 7 request
assistance via email from Station Market & Business Manager and RVPE)
Prior to Lease distribution, we must have the following in the Tenant/
Property File (as required).
 Structural Study or Analysis and Reinforcement Design showing the
structure will carry the loads as described in the Lease Exhibit B.
(if required) (attach copies)
 Construction Drawings or A&E Drawings or Sketch: one tower elevation
and one property drawing showing the placement of the Lessee’s
equipment on the site. (attach copies)
 Permits (Zoning, Construction, Electrical) and other governmental
authorizations as required by Federal, State, County, or local codes.

 Contractor/Installer Approval by Clear Channel’s Station engineer
(via email; include the name, address, phone email, and Tax ID (FEIN/
TIN) number for the company that will be performing the installation
of Lessee’s equipment).

What information does Vertical Real Estate require from the station
engineer? (Feasibility Checklist)
• An email is sent to the station engineer (et al) as follows;
Clear Channel has received an application (attached) from [CLIENT
NAME] to lease space on the above referenced tower. Please provide,
within 5 days, the following information (if checked) via email.
 Available Tower Space at the elevation(s) requested and if NOT, what
is (are) available??
 Available Ground/Shelter/Building Space as requested and if NOT,
what is available??
 Available Electric and TELCO as requested and if NOT, what is
available???
 Ground Lease or Property Deed/Legal Property Description
 Name of last tenant to install equipment on the Tower
 Is a Structural Analysis of the Tower Required?
If a Structural Analysis of the tower is required, please EMAIL or FAX
copies of the following (if checked)…
 Last Structural
 Current Tower Loading (see attached Tower Equipment Detail sheet) *
 Tower Construction and Load Design Drawing

I need an “Entry and Testing Agreement” to access your site, what’s
the process?

• Entry & Testing Agreement - Applicants requesting access to the
property or the tower for any reason are required to sign an Entry and
Testing Agreement. We must use the Clear Channel Vertical Real Estate
form which provides customary insurance and indemnification provisions
in addition to spelling out what actions Applicants can perform on the

Tenant Construction

Do we always require Applicants to conduct a Structural Analysis of
the tower?

• Before a fully executed lease is distributed, we require all
applicants to provide either a complete structural analysis by a CC
approved PE, or a written waiver from the station engineer. The
applicant contracts and pays for the structural.

• The station engineer is required to provide all available tower
documentation. At a minimum, the station engineer must provide the
tower’s model and manufacturer and current loading. In addition,
construction drawings, foundation design, prior structurals, etc, are
immeasurably helpful.

• In the event we do not have the necessary details to have the tenant
conduct a proper study, we will permit the Applicant to access and map
the tower.

• All expenses related to the structural analysis are paid by the
applicant.

How are proposed tenant equipment installation and construction
details reviewed and approved?

• While not “required”, the Applicant is responsible for the design,
production, and delivery of drawings (either professional A&E or a
construction drawings sketch, at our option). Drawings must be
approved by the station engineer or operations manager (CCO) prior to
the distribution of a fully executed lease.

Do we allow tenants to make Permanent Improvements to the tower or the
premises?

• If a tower requires substantial structural reinforcement or
replacement, we may allow an Applicant to evaluate and submit a
request to that effect.

• Upgrade or replacement costs and logistics are reviewed and approved
by Station Management, the RVPE, and the station engineer, and if
approved, are incorporated into the lease agreement.

What Steps must a prospective Tenant follow in order to be in
compliance with the lease prior to commencement of construction?

I. General – Notice to Proceed (NTP Checklist)
Prior to commencement of construction, LESSEE is required to provide
the following:
1. Schedule of Construction (start date and estimated completion date:
specific dates).
2. Proof on Insurance as more particularly described in the Lease
Section 10. (attach copy)
3. Structural Study or Analysis and Reinforcement Design showing the
structure will carry the loads as described in the Lease Exhibit B.
(if required) (attach copies)
4. Construction Drawings or A&E Drawings or Sketch showing at lease
one tower elevation and one property drawing showing the placement of
the Lessee’s equipment on the site. (attach copies)

from Lessor’s engineer before commencing construction.
Commencement of construction prior to written approval or delivery of
required may result is a lease default.
